TERMS AND CONDITIONS FOR USER TESTING STUDY

USER TESTING STUDY

  1. INTRODUCTION. These terms and conditions govern the participation in The Football Association Premier League Limited’s (“PL”) User Testing Study (both defined below), administered by Pulselive Innovations Ltd (“Administrator”). A “Participant” or “you” refers to any individual who is selected to participate by the PL or Administrator and agrees to take part. By participating in the User Testing Study, you agree to these terms and conditions and any terms and conditions reasonably made available to them by the PL or the Administrator in connection with the User Testing Study.
  2. ELIGIBILITY. Participants must be 18 years or older.
  3. USER TESTING STUDY.Participants will be required to use the Premier League’s digital prototype product (website or app) in either a prototype, test or live environment (“Platform”) and provide feedback (directly or indirectly in whatsoever form) to the Administrator (“Feedback”).
  4. As determined solely by PL, Participants in the User Testing Study will receive an incentive (to be chosen by PL acting in its sole discretion) for participation in the User Testing Study which will be offered to you prior to your participation in the User Testing Study. By agreeing to participate in the User Testing Study, you acknowledge and agree that the incentive offered to you by PL constitutes fair and adequate consideration for your participation in the User Testing Study and the assignment of rights in the Feedback.

TERMS AND CONDITIONS

  1. All information and personal data shall be controlled by the PL in accordance with its privacy policy which can be found at https://www.premierleague.com/privacy-policy. To the extent that any information contained within an entry or User Testing Study constitutes personal data (as defined in UK GDPR), the PL shall ensure that they observe the requirements of UK GDPR and the Data Protection Act 2018 (and any amendments, schedules or revisions thereto) and shall protect the security, privacy and integrity of the personal data and personal data shall only be processed in accordance with these official rules or the instructions of the PL. The PL shall use the information in the applicable entry for the purposes of administering the User Testing Study only and no personal data shall be used for direct marketing.
  1. You acknowledge and agree that all information provided to you by the PL and/or the Administrator in connection with the User Testing Study and/or the Platform (including (without limitation) the existence of both) should be kept secret and confidential by you and shall not be used or disclosed other than in connection with your participation in the User Testing Study in accordance with these terms and conditions and PL and/or the Administrator’s written instructions.
  1. You shall not (i) download, or otherwise extract, distribute, or publish any content from the Platform (“Content”), or attempt to do any of the same; (ii) sell, resell, license, sublicense, distribute, rent or lease any Content or the Platform; (iii) use the Platform to store or transmit infringing, libelous, or otherwise unlawful or tortious material or store any material in violation of third party privacy rights; (iv) use the Platform to store or transmit malicious code; (v) interfere with or disrupt the integrity or performance of the Platform or any Content; (vi) attempt to gain unauthorised access to the Platform or any of the Administrator or PL’s systems and/or networks; (vii) not grant access to any person to the Platform; (viii) modify, copy or create derivative works of the Content or the Platform or any part, feature, function or user interface thereof; (ix) copy Content; (x) frame or mirror any part of the Content or Platform; and/or disassemble reverse engineer or decompile the Platform or Content.
  1. You acknowledge and agree that all intellectual property rights as may subsist in and/or may be acquired in or in connection with the Platform or any other information provided to you by PL and/or the Administrator together with any goodwill attaching thereto shall as between PL and you remain the exclusive property of the PL.
  1. You acknowledge and agree that the PL may use your Feedback without charge or limitation, By participating in the User Testing Study you hereby assign all intellectual property rights in the Feedback to the PL.
  1. The PL shall not be liable or responsible to you in connection with your participation in, or the administration of, the User Testing Study, including without limitation mechanical, technical human, printing, distribution or production errors, or any computer viruses, trojan horses, worms, time bombs, cancelbots, corrupted files or any other item that may damage the operation of computers or property or otherwise connected with computer misuse. The PL and Administrator shall be ultimately responsible for determining eligibility, in its sole discretion.
  2. The Participant assumes all liability for any injury or damage caused, or claimed to be caused, by participation in the User Testing Study. For the avoidance of doubt, the PL cannot accept any liability to any Participant for any of the following types of loss which a Participant may suffer as a result of their entry:
    • loss which was not foreseeable to a Participant and the PL when the Participant first participated in the User Testing Study (even if that loss results from the PL’s failure to comply with these terms and conditions or its negligence);
    • any business loss a Participant may suffer, including loss of revenue, profits, or anticipated savings (whether those losses are the direct or indirect result of the PL’s default); or
    • loss which a Participant suffers other than as a result of the PL’s failure to comply with these terms and conditions (or any typographical or other error contained herein) and the PL’s negligence or breach of statutory duty.
  3. Nothing in these terms will limit the PL’s liability for death or personal injury arising from its negligence or if the PL deliberately lied to Participants before an entry was submitted.
  4. In the event of any breach by a Participant of these terms and conditions, the PL reserves the right to:
    • exclude the Participant from the User Testing Study; or
    • request that the Participant returns any information shared with it by the PL or the Administrator.
  5. APPLICABLE LAWS AND JURISDICTION. The User Testing Study, and these terms and conditions shall be governed by and construed in accordance with the laws of England and Wales and the parties agree to submit to the exclusive jurisdiction of the Courts of England and Wales.
